These Terms apply to: (i) the official Abel.AI website at https://abel.ai (including its sub-domains, the “Site”); and (ii) any other website linked to through these Terms (collectively, the “Service”), which in any case is operated by Abel.AI or its affiliates (“Company,” “we,” or “us” or “our”). 1.Eligibility

You must be 18 years of age or older and not be a Prohibited Person to use the Services.

A “Prohibited Person” is any individual or entity that:
(a) is the subject of any economic or trade sanctions administered or enforced by any governmental authority, including but not limited to individuals or entities listed on any restricted or prohibited party lists maintained by the European Union (EU) Consolidated List, the United Kingdom (UK) Consolidated List of Financial Sanctions Targets (including as extended to the Cayman Islands by statutory instrument), the Cayman Islands, or the U.S. Treasury Department’s Office of Foreign Assets Control (OFAC) Specially Designated Nationals List;
(b) is located in, incorporated in, organized in, or a resident of any country, territory, or jurisdiction subject to comprehensive economic sanctions or embargoes, or designated as terrorist-supporting by the United Nations (UN), the EU, the UK (including as extended to the Cayman Islands by statutory instrument), the Cayman Islands, or the U.S. Treasury Department’s OFAC or the UK’s Office of Financial Sanctions Implementation (OFSI) (each, a “Sanctioned Jurisdiction”);
(c) is owned or controlled by individuals or entities described in (a)–(b);
(d) is accessing or using the Services on behalf of individuals or entities described in (a)–(c); or
(e) is a resident of the United States.

Sanctioned Jurisdictions include, but are not limited to: the United States, Cuba, Iran, North Korea, Syria, and certain Russian-occupied regions of Ukraine.

You acknowledge and agree that you are solely responsible for complying with all applicable laws in your jurisdiction of residence, location, or access to the Services. By using the Services, you represent and warrant that:

You meet these eligibility requirements; and

2.1. Right to Use Services

We hereby grant you a limited, revocable, non-transferable, and non-sublicensable right and license to access and use the Services for your own personal or internal business purposes, provided that you comply with these Terms in all respects.

If any software, content, or other materials owned or controlled by us are provided to you as part of the Services, we grant you a personal, non-assignable, non-sublicensable, non-transferable, and non-exclusive right and license to download, access, and display such materials solely for the purpose of enabling you to use the Services as permitted by these Terms.

Your access to the Services may be interrupted at any time due to maintenance, updates, system failures, or other reasons beyond our control, and we shall not be liable for any such interruptions or your inability to access the Services.

You acknowledge that Abel.AI and/or its licensors own all rights, title, and interest in and to the Services, including all intellectual property rights.

You agree not to take any actions that are inconsistent with these ownership rights. We reserve all rights in connection with the Services and their content, except for the limited rights expressly granted to you under these Terms.

3.2. Ownership of Feedback

If you provide feedback, bug reports, comments, or suggestions for improving the Services ("Feedback"), you acknowledge that:

You do not retain any rights to such Feedback.
All Feedback becomes the sole and exclusive property of Abel.AI.
Abel.AI has the unrestricted right to use, modify, disclose, and distribute Feedback for any purpose, without notice, compensation, or obligation to you.

By submitting Feedback, you assign all rights, title, and interest in the Feedback to Abel.AI, including but not limited to patent, copyright, trade secret, trademark, and moral rights. If certain rights cannot be assigned (such as moral rights), you agree to waive those rights to the maximum extent permitted by law.

4.1. Third-Party Services and Materials

The Services may display, link to, or integrate third-party services, content, data, applications, or websites (“Third-Party Services and Materials”). These are provided for convenience only, and Abel.AI does not endorse or assume any responsibility for them.

By using any Third-Party Services and Materials, you acknowledge that:

Your access and use of such services are governed solely by the third party’s terms and policies.
Abel.AI is not responsible or liable for the content, security, privacy practices, accuracy, or availability of Third-Party Services and Materials.
Abel.AI does not review, monitor, or verify the quality, legality, or appropriateness of Third-Party Services and Materials.
You irrevocably waive any claims against Abel.AI related to Third-Party Services and Materials.

Abel.AI is not liable for any damage or loss caused by your use of, or reliance on, any Third-Party Services and Materials. All third-party links and integrations are provided as-is and at your own risk.

2.2. Restrictions on Your Use of the Services

You shall not do any of the following in connection with your use of the Services unless expressly permitted by us in writing or required by applicable laws or regulations:
